Terms of Service

Tradebio is operated by Tradebio LLC, a Georgia limited liability company ("Tradebio," "we," "us," or "our"). By accessing or using Tradebio (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. What Tradebio Is

Tradebio is a software-as-a-service analytics platform that correlates a trader's biometric data with their trading activity to surface patterns in their personal trading performance. The Service is a tool for self-reflection, post-trade review, and pattern recognition. It is NOT a trading platform, broker, signal service, copy-trading service, investment adviser, financial planner, or order-execution system.

2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) to use the Service. By using the Service you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms. The Service is not directed to children under 18, and we do not knowingly collect data from children.

3. Not Financial Advice; Not an Adviser

Nothing surfaced by the Service constitutes investment, financial, legal, accounting, or tax advice. Tradebio LLC is not a registered investment adviser, broker-dealer, futures commission merchant, commodity trading advisor, or any other regulated financial entity. We do not have a fiduciary relationship with you.

Charts, statistics, "coach" notes, biometric correlations, tier classifications, and any other output of the Service are educational and observational only. They describe patterns in your own historical data and make no prediction about future trades or market conditions. All decisions about whether, when, how much, and how to trade are entirely your own. Trading futures, options, equities, and other instruments involves substantial risk, including the risk of total loss. Past performance does not indicate future results. Do not rely on the Service as your sole basis for any trading decision.

5. Biometric Data; Informed Consent

By connecting WHOOP, Oura, Apple HealthKit (via Health Auto Export), or any other supported biometric source to the Service, you knowingly and voluntarily consent to the collection, storage, and processing of your Biometric Data by Tradebio LLC for the purpose of computing the analytics, correlations, and insights described in our Privacy Policy. You acknowledge that you have read and understood our retention and destruction schedule for Biometric Data, which is set forth in the Privacy Policy.

You may revoke this consent at any time by disconnecting the relevant integration in the Service's Settings page and requesting deletion of your Biometric Data as described in the Privacy Policy. We will not sell, lease, trade, or otherwise profit from your Biometric Data, and we will not disclose it to any third party except as required by law or as expressly authorized by you.

6. Third-Party Services

The Service integrates with third-party platforms including WHOOP, Oura, TopstepX (ProjectX), Tradovate-based prop firms, Apple HealthKit, Google (for authentication), Stripe (for payments, when enabled), and Render (for hosting). Each third party has its own terms of service and privacy policy, which you should review independently. We act only on your behalf and only within the scopes you grant. We do not control these third parties and are not responsible or liable for their availability, accuracy, security, or actions.

Your use of the Service is also governed by our Privacy Policy, which describes what we collect, how we use it, how long we keep it, and your rights, including for residents of California (CCPA / CPRA) and Illinois (BIPA). By using the Service you acknowledge that you have read and understood the Privacy Policy.

9. AS-IS; No Warranty

The Service is provided AS-IS and AS-AVAILABLE, without warranty of any kind, express or implied. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, accurate, error-free, secure, or free of viruses. Features may change, break, or be removed. Data syncs may lag, fail, or be incomplete. You should not rely on the Service for time-sensitive trading decisions, regulatory record-keeping, or compliance reporting.

10. Limitation of Liability

To the maximum extent permitted by law, Tradebio LLC, its members, officers, employees, contractors, agents, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, including but not limited to lost profits, lost data, trading losses, lost opportunities, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Service, even if advised of the possibility of such damages.

Our aggregate liability to you for any and all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) one hundred U.S. dollars ($100), or (b) the total amount paid by you to Tradebio LLC for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the foregoing limitations apply only to the extent permitted.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tradebio LLC and its members, officers, employees, contractors, agents, and licensors from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights, including intellectual property or privacy rights; or (d) any trading or other financial decision made by you in reliance on or in connection with the Service.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including but not limited to violation of these Terms or conduct that, in our sole judgment, harms other users or the Service. Upon termination, your right to use the Service ceases immediately. You may request export or deletion of your stored data per our Privacy Policy. Sections 3, 5, 9, 10, 11, 13, 14, and 15 survive any termination.

13. Dispute Resolution; Arbitration; Class Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted in Fulton County, Georgia, or, at your election, by telephone or video conference. Judgment on any arbitration award may be entered in any court of competent jurisdiction.

Class-Action Waiver. You and Tradebio LLC each agree that any dispute shall be resolved on an individual basis only and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator shall have no authority to consolidate or join the claims of more than one person.

Exceptions. Notwithstanding the foregoing, either party may bring an individual action in small-claims court for disputes within that court's jurisdiction. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights pending the completion of arbitration.

Opt-Out. You may opt out of the arbitration agreement and class-action waiver in this Section 13 by sending written notice to the contact address in Section 16 within thirty (30) days of first accepting these Terms. The opt-out notice must include your name, email used to access the Service, and a clear statement that you wish to opt out of arbitration.

14. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws principles. Subject to Section 13, the exclusive venue for any dispute that is not subject to arbitration shall be the state and federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top will reflect the most recent revision. For material changes, we will provide notice via the Service or by email at least seven (7) days before the change takes effect. Continued use of the Service after a change becomes effective constitutes your acceptance of the revised Terms.
